1. Rights and Obligations of the Contracting Parties

1.1 Ai Musician provides AI-powered music creation services through subscription plans. This License Agreement (hereinafter referred to as the "Agreement") establishes the terms and conditions governing your use of the subscription services provided by Ai Musician.

1.2 By agreeing to this Agreement, you acknowledge that you are bound by its terms as well as the Terms of Service, Cookie Policy, and Privacy Policy published on the Ai Musician website. You confirm that you are of legal age and possess the requisite authority to enter into this Agreement. If you are using Ai Musician on behalf of your employer, you confirm that you are authorized to legally bind your employer to this Agreement, and references to "you" herein shall include both yourself and your employer, as applicable.

2. Definitions of Key Terms

2.1 "Generated Content": Refers to any music, audio, lyrics, album covers, sound effects, or other creative works produced using Ai Musician's artificial intelligence tools, including:

• AI-generated music compositions
• Vocal-removed audio tracks
• Stem-split audio files
• AI-generated lyrics
• AI-generated album covers
• AI-generated sound effects

2.2 "Commercial Use": Refers to any use of Generated Content intended for financial gain, including but not limited to selling, licensing, distributing, broadcasting, publishing, or utilizing in advertising.

2.3 "Non-Commercial Use": Refers to personal usage that does not result in any economic benefit, such as sharing Generated Content on non-monetized platforms for personal enjoyment.

3. Scope of License Granted Under the Subscription Plan

3.1 Ai Musician grants paid subscribers a non-exclusive, perpetual, worldwide license to use Generated Content for both commercial and non-commercial purposes.

3.2 Rights of Paying Subscribers (Pro & Enterprise Plans):

• Usage in Projects: Subscribers are authorized to integrate Generated Content into their personal or professional projects, including its use as part of larger works or creative endeavors.

• Distribution and Sharing: Subscribers may share or distribute Generated Content on various platforms, including but not limited to:

  • Video platforms: YouTube, TikTok, Instagram Reels, Twitch, Facebook
  • Music streaming: Spotify, Apple Music, Amazon Music, YouTube Music
  • Social media: Instagram, Facebook, Twitter/X, LinkedIn
  • Broadcast: TV, radio, podcasts
  • Commercial projects: advertisements, films, games, applications

• Modification and Adaptation: Subscribers are permitted to modify, remix, or enhance Generated Content for creative purposes, including:

  • Editing audio length or structure
  • Combining with other audio tracks
  • Adding vocals or instruments
  • Remixing or rearranging

• Commercial Monetization: Subscribers are allowed to monetize Generated Content on any platform or medium without incurring additional charges or royalties.

3.3 Ownership Rights:

• Paying subscribers retain full ownership of all Generated Content created during their subscription period
• Subscribers may continue to use any Generated Content produced during the subscription period even after the subscription has expired
• There are no ongoing royalty payments or additional fees required for continued use

3.4 Free Tier Users:

• Free tier users may use Generated Content for personal, non-commercial purposes only
• Content generated under the free tier may not be used for commercial monetization
• Proper attribution must be given by including "Created with Ai Musician" when sharing on public platforms
• Daily usage limits apply

3.5 Prohibited Uses: Users are strictly prohibited from using Generated Content for any:

• Illegal purposes or activities
• Harmful, defamatory, or unlawful content
• Hate speech, discrimination, or harassment
• Sexual violence or exploitation of minors
• Terrorist or extremist content
• Deepfakes or deceptive content that misrepresents real individuals
• Infringement of third-party intellectual property rights

4. Platform Representations and Warranties

4.1 Ai Musician represents and warrants that it possesses all necessary rights and authority to grant licenses for the Generated Content in accordance with this Agreement.

4.2 Ai Musician guarantees that, when used in full compliance with this Agreement, the Generated Content will not infringe upon the intellectual property rights of any third party. Our AI models are trained on licensed and public domain content.

4.3 Ai Musician explicitly disclaims any warranties regarding the suitability, quality, or fitness of the Generated Content for any particular purpose or use. Generated content is unique each time and may vary in quality.

5. Disclaimers and Limitations of Liability

5.1 Ai Musician shall not be held liable for any losses, disputes, or damages resulting from the misuse, improper use, or unauthorized use of the Generated Content.

5.2 Users are solely responsible for ensuring that their use of Generated Content complies with:

• Applicable platform policies (YouTube, Spotify, etc.)
• Intellectual property regulations
• Local, state, national, and international laws
• Industry-specific regulations (e.g., broadcast standards)

5.3 Ai Musician is not responsible for:

• Copyright claims arising from user's unauthorized use of Generated Content
• Platform takedowns or demonetization due to policy violations
• Any disputes between users and third parties regarding Generated Content use

6. Conditions for Termination of the License

6.1 This license shall be automatically terminated in the event of any violation of the terms and conditions set forth in this Agreement.

6.2 Upon termination of the license:

• The user must immediately cease all commercial use of the Generated Content
• For paid subscribers who have completed their subscription term in good standing, they retain the right to continue using content generated during their active subscription
• For users terminated for violation, all rights to use Generated Content are immediately revoked
• Files and materials must be deleted if license is revoked for violation

8. Additional Provisions

8.1 All Generated Content is provided on an "as is" basis. Ai Musician disclaims any liability for its use beyond the terms explicitly outlined in this Agreement.

8.2 Ai Musician reserves the right to modify the terms of this Agreement at its sole discretion. Users will be notified of any significant amendments at least 30 days in advance via email or in-app notification.

8.3 The platform reserves the right to:

• Monitor the usage of Generated Content
• Take appropriate action against unauthorized use or infringement
• Suspend or terminate accounts violating these terms
• Update AI models which may affect output quality or style

8.4 This Agreement constitutes the entire understanding between you and Ai Musician regarding the license and use of Generated Content. This Agreement supersedes any prior agreements or understandings, whether written or oral.

9. Specific Use Cases

9.1 Permitted Commercial Uses (Pro & Enterprise):

• Background music for YouTube videos with monetization enabled
• Music for podcasts that include sponsorships or advertisements
• Soundtracks for commercial films, documentaries, or games
• Music for advertisements and commercials
• Streaming on Spotify, Apple Music, and other platforms with monetization
• Audio for corporate videos and presentations
• Music for fitness classes or online courses (paid)
• Ringtones and mobile apps (commercial)

9.2 Attribution Requirements (Free Tier):

When sharing content generated under the free tier, you must include visible credit in one of the following formats:

• "Created with Ai Musician"
• "Music by Ai Musician - https://aimusician.ai"
• In video descriptions: "Music generated using Ai Musician"
